1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Goodwin Technology and Services LLC, a Texas limited liability company ("Company," "we," "us," or "our"), governing your access to and use of FBA Health Monitor and all related services (collectively, the "Service").

By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

2. Description of Service

FBA Health Monitor is a subscription-based software service that connects to your Amazon Seller Central account via the Amazon Selling Partner API (SP-API) to monitor your Account Health Rating (AHR) and related performance metrics. The Service provides a dashboard displaying your current and historical account health data and sends email alerts when your account health status changes or a new policy violation is detected.

The Service is a monitoring and alerting tool only. It does not provide legal advice, guarantee any outcome with Amazon, prevent account suspension, or take any action on your behalf within Seller Central.

3. Eligibility

You must be at least 18 years of age and have the legal authority to enter into this agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements. The Service is intended for use by Amazon sellers and their authorized representatives.

4. Account Registration

You must register for an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. You must notify us immediately at support@goodwintech.services if you suspect unauthorized access to your account.

5. Amazon Account Authorization

To use the core features of the Service, you must authorize FBA Health Monitor to access your Amazon Seller Central account via the SP-API OAuth flow. By granting this authorization, you:

• Confirm that you are the owner or authorized administrator of the Amazon seller account being connected
• Authorize us to access the account health data described in our Privacy Policy on your behalf
• Acknowledge that your use of the SP-API through our Service is subject to Amazon's Selling Partner API Developer Agreement and all applicable Amazon policies
• Understand that you may revoke this authorization at any time by disconnecting your account within the Service or through Amazon Seller Central

We are not affiliated with, endorsed by, or an official partner of Amazon.com, Inc. "Amazon," "Seller Central," "FBA," and related marks are trademarks of Amazon.com, Inc.

6. Subscription and Payment

6.1 Subscription Plans

The Service is offered on a monthly subscription basis. Current pricing is displayed on our website at goodwintech.services. We reserve the right to change pricing with 30 days' notice to existing subscribers.

6.2 Billing

Subscription fees are billed monthly in advance via the payment method you provide. All fees are in U.S. dollars. You authorize us to charge your payment method on a recurring monthly basis until you cancel.

6.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the end of the period for which you have paid.

6.4 Refunds

Subscription fees are non-refundable except as required by applicable law. If you believe you were charged in error, contact us within 30 days at support@goodwintech.services.

6.5 Free Trial

If we offer a free trial, it will be described on our website. At the end of the free trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends.

7. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service in any way that violates Amazon's Selling Partner API Developer Agreement or Amazon's policies
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Use the Service to monitor seller accounts you do not own or are not authorized to access
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use automated scripts or bots to interact with the Service beyond normal use
• Resell, sublicense, or otherwise commercialize access to the Service without our written consent
• Use the Service in a manner that could damage, disable, or impair the Service or interfere with other users

8. Intellectual Property

The Service, including its software, design, text, graphics, and all other content, is owned by Goodwin Technology and Services LLC and protected by applicable intellectual property laws. These Terms do not grant you any ownership interest in the Service. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted, error-free, or available at all times
• The account health data retrieved from Amazon will be accurate, complete, or current at any given moment
• Email alerts will be delivered without delay or failure
• Use of the Service will prevent account suspension or any adverse action by Amazon

Amazon account health data is sourced entirely from Amazon's SP-API. We have no control over the accuracy, availability, or timeliness of data provided by Amazon. Discrepancies between data shown in FBA Health Monitor and data shown in Seller Central should be resolved by reference to Seller Central as the authoritative source.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GOODWIN TECHNOLOGY AND SERVICES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

Our total cumulative liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the total fees paid by you to us in the three months preceding the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Goodwin Technology and Services LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including Amazon's terms of service; or (d) any content or data you provide to the Service.

12. Service Availability and Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will make reasonable efforts to notify you in advance of significant changes or planned downtime.

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Termination

We may suspend or terminate your account at any time if we believe you have violated these Terms, engaged in fraudulent activity, or if required by law. You may terminate your account at any time by canceling your subscription and deleting your account. Upon termination, your right to use the Service ceases immediately.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in Texas. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Miscellaneous

Entire Agreement. These Terms and our Privacy Policy constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.

Assignment. You may not assign your rights under these Terms without our written consent. We may assign our rights without restriction.
